These Terms of Service govern your access to and use of LuxeRide, operated by JPRS Digital Connect. By creating an account or using the platform, you agree to these terms.

Description of service

LuxeRide is software-as-a-service that transportation operators use to run online bookings, dispatch, payments and communications for their own transportation business.

LuxeRide is a software provider, not a transportation company, carrier, broker, or motor carrier of any kind. The contract for any ride is between the passenger and the operator alone; LuxeRide is not a party to that contract and has no involvement in performing, supervising or guaranteeing any transportation service.

Eligibility and accounts

You must be at least 18 years old and have the legal authority to bind the business you represent to open an operator account. Operators are solely responsible for the accuracy of the fleet, driver, insurance and pricing information they enter into the platform, and for keeping their account credentials confidential and secure.

You are responsible for all activity that occurs under your account, whether or not authorized by you, except to the extent caused by LuxeRide's gross negligence.

No transportation provider — assumption of risk

LuxeRide does not own, lease, or operate any vehicle; does not employ, contract with, dispatch, train, supervise or background-check any driver; and does not provide transportation services of any kind. All transportation services are provided exclusively by the operator and its drivers, who act as independent businesses with no agency, employment, joint-venture or partnership relationship with LuxeRide or JPRS Digital Connect.

LuxeRide has no control over, and assumes no responsibility for, the conduct of any operator, driver or passenger; the condition, safety or maintenance of any vehicle; traffic accidents, personal injury, death or property damage occurring during or in connection with any trip; or any criminal act committed by any operator, driver or passenger. By using LuxeRide-powered booking pages, riders and operators acknowledge and accept these risks as inherent to ground transportation and agree that LuxeRide and JPRS Digital Connect bear no liability for them.

Regulatory compliance — important disclaimer

LuxeRide includes tools (the "Compliance Center") that help operators track the expiration dates of licenses, permits and insurance policies they choose to enter into the system.

These tools are organizational aids only. LuxeRide does not verify, certify, guarantee or warrant that any operator, driver or vehicle is properly licensed, permitted, insured or otherwise compliant with applicable transportation regulations. Each operator is solely and entirely responsible for obtaining and maintaining all licenses, permits, insurance and approvals required by law in the jurisdictions where they operate, and for the accuracy of any dates or documents it enters into the Compliance Center.

Subscription plans and platform fees

Access to LuxeRide requires an active subscription plan, billed through Whop on a recurring basis. In addition to the subscription fee, a platform fee (a percentage of each completed trip, which varies by plan) applies to payments processed through the platform. Fees are subject to change on prospective bookings with reasonable notice.

Card processing fees charged by Whop are separate from, and in addition to, LuxeRide's subscription and platform fees. LuxeRide is not responsible for Whop's fees, funds availability, chargebacks, payouts or compliance with card-network rules.

Cancellation

Operators may cancel their subscription at any time through their account settings or by contacting us; cancellation takes effect at the end of the then-current billing period. Except where required by law, fees already paid are non-refundable.

Acceptable use

You agree not to use LuxeRide for any unlawful purpose, to interfere with or disrupt the platform's operation or security, to reverse-engineer or scrape the software, to misrepresent your identity, or to attempt to access data belonging to another operator without authorization.

Passenger bookings and policies

Cancellation windows, no-show fees, deposit requirements and gratuity options are configured by each operator and apply to bookings made through that operator's page — LuxeRide does not set, endorse or enforce these policies on the operator's behalf, and is not a party to any dispute concerning them.

Third-party services

LuxeRide integrates third-party services, including Whop (payments), Google (maps, places and analytics), and SMS/email delivery providers. These services operate under their own terms, and LuxeRide is not responsible for their availability, accuracy, security or acts or omissions.

Intellectual property

LuxeRide and its underlying software, design, trademarks and documentation remain the exclusive property of JPRS Digital Connect. Operators retain ownership of their own business data (fleet, bookings, customer records) entered into the platform, and grant LuxeRide a limited license to host, process and display that data solely to provide the service.

Nothing in these terms transfers any LuxeRide intellectual property to you, and you may not use LuxeRide's name, logo or branding without prior written consent, other than as embedded in the software itself for your own operator page.

Disclaimer of warranties

LuxeRide is provided "as is" and "as available", without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or that the service will be uninterrupted, timely, secure or error-free. No advice or information obtained from LuxeRide creates any warranty not expressly stated in these terms.

Limitation of liability

To the maximum extent permitted by law, LuxeRide and JPRS Digital Connect (including their officers, employees and affiliates) will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or any loss of profits, revenue, data or goodwill, arising from or related to use of the platform, transportation services booked through it, or any dispute between operators, drivers, corporate accounts or passengers — even if advised of the possibility of such damages.

To the maximum extent permitted by law, the total aggregate liability of LuxeRide and JPRS Digital Connect for any claim arising out of or relating to these terms or the service will not exceed the total subscription fees actually paid by the relevant operator to LuxeRide in the twelve (12) months preceding the event giving rise to the claim.

Indemnification

You agree to defend, indemnify and hold harmless LuxeRide, JPRS Digital Connect and their officers, employees and affiliates from any claim, damage, liability, cost or expense (including reasonable attorneys' fees) arising out of or related to: (a) your use of the platform; (b) the transportation services you or your drivers provide; (c) your violation of these terms or of any applicable law or regulation, including transportation licensing and insurance requirements; (d) any dispute between you and a passenger, driver, corporate account or third party; or (e) the accuracy of information you enter into the platform, including the Compliance Center.

Dispute resolution and arbitration

Any dispute arising out of or relating to these terms or the service will first be addressed through good-faith negotiation between the parties. If not resolved within thirty (30) days, the dispute will be finally settled by binding individual arbitration, and each party waives the right to a jury trial and to participate in a class, collective or representative action, to the maximum extent permitted by law.

Termination

We may suspend or terminate access to any account that violates these terms, applicable law, or that we reasonably believe poses a risk to the platform, other users, or third parties, with notice where reasonably possible. Sections of these terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification and dispute resolution) will survive.

Force majeure

Neither party will be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, acts of government, labor disputes, internet or utility failures, or failures of third-party service providers.

Governing law and venue

These terms are governed by the laws applicable to JPRS Digital Connect's place of business, without regard to conflict-of-law principles. Subject to the arbitration provision above, the state and federal courts located in that jurisdiction will have exclusive venue over any dispute not subject to arbitration.

General provisions

If any provision of these terms is found unenforceable, the remaining provisions remain in full force. These terms, together with the Privacy Policy, constitute the entire agreement between you and LuxeRide regarding the service. Our failure to enforce any provision is not a waiver of it. You may not assign these terms without our prior written consent; we may assign them freely in connection with a merger, acquisition or sale of assets.

Changes to these terms

We may update these terms from time to time. Material changes will be reflected by updating the "Last updated" date above; continued use of the platform after an update constitutes acceptance of the revised terms.
